Terms And Conditions

Terms & Conditions — BILLSHIP

Effective date: 31 July 2026  |  Last updated: 31 July 2026

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you,""User") and BILLSHIP ("BILLSHIP,""we,""us,""our") governing your access to and use of the BILLSHIP mobile application (the "App"), including browsing products, creating an account, placing orders, and receiving deliveries of groceries and related items. These Terms should be read together with our Privacy Policy and Shipping Policy, both of which are incorporated into these Terms by reference. By downloading, accessing, registering on, or otherwise using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not access or use the App.

1. Eligibility

To use the App and place orders, you must:

  • Be at least 18 years of age;
  • Be capable of forming a legally binding contract;
  • Not be a person barred from using the App under any applicable law; and
  • Provide accurate, current, and complete information during registration and while placing orders.

BILLSHIP reserves the right to refuse registration or service to any person or entity at its discretion, including where it reasonably suspects that eligibility criteria are not met, without being required to give reasons.

2. Account Registration and Security

To place orders, you will generally be required to create an account using your name, mobile number, email address, and/or other requested details.

  • You are solely responsible for maintaining the confidentiality of your login credentials, one-time passwords (OTPs), and any device used to access your account.
  • You are responsible for all activities that occur under your account, whether or not authorized by you, except where such activity results from BILLSHIP's own fault.
  • You agree to notify BILLSHIP immediately, through the contact details in Section 15, upon becoming aware of any unauthorized access to or use of your account.
  • You may not create an account using another person's identity, share your account with others for commercial purposes, or maintain more than one active account without our permission.
  • BILLSHIP reserves the right to verify your identity or contact details (e.g., via OTP) before processing certain orders or account actions.
  • BILLSHIP may suspend or terminate accounts that are inactive for an extended period, or that are found to contain false, inaccurate, or misleading information, in accordance with Section 12.

3. Orders and Availability

Placing an order through the App constitutes an offer by you to purchase the selected items, which BILLSHIP may accept or decline.

  • Product listings, including images, descriptions, weights, brands, and pack sizes, are provided for general reference; actual items delivered may vary slightly due to sourcing, packaging updates, or supplier substitutions, and BILLSHIP will make reasonable efforts to notify you of material substitutions where feasible.
  • Stock availability is not guaranteed at the time of browsing or order placement. If an item becomes unavailable after your order is placed, BILLSHIP may remove that item from the order, offer a substitute (where permitted by your App settings), or cancel the affected portion of the order with a corresponding refund.
  • BILLSHIP reserves the right to limit order quantities per User or per household, particularly during high-demand periods or for items subject to purchase restrictions.
  • BILLSHIP may cancel or refuse to fulfil any order, in whole or in part, where there is a suspected pricing or listing error, evidence of fraudulent activity, a violation of these Terms, or circumstances beyond BILLSHIP's reasonable control. Where an order is cancelled after payment, any amount already paid for the cancelled portion will be refunded in accordance with Section 6.
  • An order confirmation does not by itself guarantee delivery of every listed item; final availability is confirmed at the time of packing and dispatch.

4. Pricing and Payments

  • All prices displayed on the App are in Indian Rupees (INR) and are inclusive of applicable taxes unless expressly stated otherwise.
  • Prices, offers, and discounts are subject to change without prior notice and may vary by location, order value, or ongoing promotions; the price applicable is the one displayed at the time you complete checkout.
  • In the rare event of a genuine pricing error (e.g., a technical glitch resulting in an incorrect price), BILLSHIP reserves the right to cancel the affected order and issue a full refund, even if the order has been confirmed.
  • Payments may be made through the payment methods supported within the App at any given time, including cards, UPI, net banking, wallets, or cash on delivery where offered, processed through BILLSHIP's authorized third-party payment gateway partners.
  • BILLSHIP does not collect or store your full card number, CVV, UPI PIN, or net-banking credentials; these are handled directly and securely by our payment gateway partners in accordance with applicable payment industry standards.
  • Where a payment is debited but the corresponding order is not confirmed, or where a duplicate charge occurs, BILLSHIP will investigate and, where warranted, initiate a refund to the original payment method within a reasonable time, subject to processing timelines of the relevant bank or payment provider.
  • You are responsible for ensuring that your chosen payment method has sufficient funds or credit; BILLSHIP is not responsible for any charges (such as overdraft or failed-transaction fees) levied by your bank or payment provider.

5. Delivery

Delivery of orders placed through the App is governed by our Shipping Policy, which is incorporated into these Terms by reference and covers serviceable areas, delivery timelines, delivery charges, failed deliveries, and related matters in detail.

  • Estimated delivery windows shown at checkout are good-faith estimates only and are not a guaranteed delivery time; actual delivery may be affected by traffic, weather, item availability, address accuracy, or other factors outside BILLSHIP's reasonable control.
  • You are responsible for ensuring that the delivery address and contact details provided are accurate and that someone is reasonably available to receive the order at the selected time or address.
  • Risk in the delivered items passes to you upon successful delivery to the address provided, or upon handover to you or any person reasonably appearing to be authorized to receive the order on your behalf.

6. Cancellations, Returns, and Refunds

  • You may cancel an order free of charge at any time before it has been dispatched for delivery, either through the App or by contacting customer support.
  • Once an order has been dispatched, cancellation may no longer be possible, particularly for perishable grocery items; in such cases, the order will proceed to delivery.
  • If you receive an item that is damaged, expired, incorrect, or missing from your order, you must report the issue through the App's support section, or the contact details in Section 15, within a reasonable time of delivery, along with any relevant details or photographs requested.
  • Valid claims will be resolved, at BILLSHIP's discretion, through a replacement of the affected item, a refund to your original payment method or App wallet, or store credit, generally processed within a reasonable number of business days of the claim being approved.
  • BILLSHIP reserves the right to decline a refund or replacement claim that is not raised within a reasonable time, that is not adequately substantiated, or that appears to be part of a pattern of abuse of the return process.

7. User Conduct

When using the App, you agree that you will not:

  • Use the App for any unlawful purpose, or in any way that violates these Terms or any applicable law;
  • Attempt to gain unauthorized access to the App, other Users' accounts, or BILLSHIP's underlying systems, servers, or networks;
  • Upload, transmit, or share any content through the App (such as reviews, support messages, or profile information) that is defamatory, obscene, threatening, fraudulent, or that infringes the intellectual property or other rights of any third party;
  • Interfere with, disrupt, or place an unreasonable load on the App's infrastructure, including through the use of viruses, malware, or similar harmful code;
  • Use bots, scrapers, or other automated means to access, monitor, or extract data or content from the App without BILLSHIP's prior written consent;
  • Misuse promotional offers, discount codes, or referral programs, including through the creation of multiple accounts, in a manner inconsistent with their stated terms; or
  • Engage in abusive, threatening, or harassing behavior toward BILLSHIP staff, delivery partners, or other Users.

A violation of this Section may result in suspension or termination of your account under Section 12, in addition to any other remedies available to BILLSHIP under law.

8. Intellectual Property

All content available on or through the App, including the BILLSHIP name, logo, trademarks, App design, layout, graphics, text, product catalogues, and underlying software, is the property of BILLSHIP or its licensors and is protected under applicable intellectual property laws. Except as necessary to use the App for its intended personal, non-commercial purpose, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the App's content without BILLSHIP's prior written permission. Any feedback, suggestions, or ideas you voluntarily submit to BILLSHIP regarding the App may be used by BILLSHIP without any obligation to compensate you.

9. Third-Party Services

The App relies on various third-party service providers to operate effectively, including but not limited to providers of analytics and crash reporting, cloud infrastructure and authentication, payment gateway processing, and logistics, delivery-account, order management (OMS), and warehouse management (WMS) services such as ER4U, each described in more detail in our Privacy Policy. These third parties operate under their own terms and, where applicable, their own privacy practices. While BILLSHIP takes reasonable steps to engage reliable providers and requires them to maintain appropriate confidentiality and security standards, BILLSHIP is not responsible for any act, omission, delay, or failure of an independent third-party provider that is beyond BILLSHIP's reasonable control.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The App and all content and services made available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including as to merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in these Terms;
  • BILLSHIP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your access to or use of (or inability to use) the App, including but not limited to loss of data, loss of profits, or delayed or failed delivery, even if BILLSHIP has been advised of the possibility of such damages;
  • BILLSHIP's total aggregate liability arising out of or relating to any order or these Terms shall not exceed the amount actually paid by you for the specific order giving rise to the claim.

Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless BILLSHIP, its officers, directors, employees, agents, and business partners from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the App; (c) any content you submit through the App; or (d) your violation of any applicable law or the rights of any third party.

12. Suspension and Termination

  • BILLSHIP may suspend or terminate your access to the App or your account, with or without prior notice, where you breach these Terms, engage in conduct that is harmful to BILLSHIP, other Users, or delivery partners, or where required to comply with applicable law or to protect the integrity or security of the App.
  • You may stop using the App and request deletion of your account at any time by contacting customer support through the details in Section 15, subject to BILLSHIP's data retention obligations described in our Privacy Policy.
  • Sections of these Terms that by their nature are intended to survive termination (including but not limited to Sections 8, 10, 11, and 13) shall continue to apply after your account is terminated or you stop using the App.

13. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with them or your use of the App, shall be governed by the laws of India. If you have a concern or dispute, you agree to first raise it with BILLSHIP through the grievance redressal process described in Section 15, and to allow BILLSHIP a reasonable opportunity to resolve it. If a dispute remains unresolved, it shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over BILLSHIP's registered address.

14. Changes to These Terms

BILLSHIP may revise these Terms from time to time to reflect changes in its practices, product or service offerings, technology, or legal requirements. Where changes are material, BILLSHIP will make reasonable efforts to notify you through the App or via the email address associated with your account, and will update the "Last updated" date above. Your continued access to or use of the App after such changes take effect constitutes your acceptance of the revised Terms; if you do not agree to the revised Terms, you should stop using the App.
